The terms and conditions for the use of the license remain broadly the same and can be found in the Participant Licensing Agreement. The two changes, which require your signature for acknowledgment and acceptance, are:
1. Mandatory contribution to the Ontario Health (OH) eReferral Repository [HINP Agreement section xx]
2. A termination clause has been added to allow your license to be terminated should you decline to contribute to the Repository [PLA 1.4]
[Taken directly from the PLA article 1.2 Fees] Under the terms of the Master Agreement, OH has agreed to pay all applicable license fees to the Supplier for the Participant's use of the Solution. The Participant will not be responsible for paying any such license fees to the Supplier under this Agreement.
Terms & Conditions of the Ocean License
1. The terms and conditions applicable to the Relevant Participant’s continued use of OCEAN will include:
(i) certain license terms specified in the OH Agreement; and
(ii) a mandatory requirement that data of the Relevant Participant be provided to Ontario Health’s provincial eReferral repository through the eReferral network services;
2. Continued use of OCEAN shall be interpreted as the Relevant Participant’s agreement to the provisions of the notice;
3. If a Relevant Participant disputes the provisions of the notice, then the Relevant Participant shall:
(i) be deemed to have terminated its PLA and its participation in the HINP Agreement; and
(ii) no longer have access to the eReferral network services;
